VIRGINIA ROWING CLUB BOAT HOUSE RULES - April 8, 2003

Virginia Rowing Club
Boathouse Rules

1-All club equipment is available for use by VRC members who have signed
a waiver as of January 1 of that year, and paid dues for that same year.

2-Do not use any privately owned equipment without the specific
permission of the owner.

3- All club boats must be washed after use. Boats having covers will be
dried and covered.

4-Do not change any boat rigging (oarlock height excepted) without
approval from a club officer.

5-No private property is to be stored in the compound except boats,
oars, and slings.

6-Report any damage or maintenance concerns to the boathouse captain or
a board member.

7-If you are the last to leave check to see if the boats are tied down
and make sure everything is locked up before leaving.

8-Permission to take equipment away from the area must be given by at
least 2 board members two weeks in advance, and listed on the notice
board.

9-All equipment not having a sign-up sheet is to be used on a
first-come-first-served basis. Rowers using club racing single or
racing double must be on the sign-up sheet.

10-All rowers must sign the log book if going out other than open rowing
times.

11-Rowing from sunrise to sunset only. This is a club insurance issue!!

12-No club singles or doubles out when the wind chill is below 40
degrees F.

13-All boats keep to the right of the water (starboard side toward
shore). When overtaking another boat pass on their port side. Oncoming
boats pass port to port. Smaller boats yield to larger.

14-No obscene words or gestures are to be directed toward discourteous
boaters, no matter the provocation.

15-All new rowers must sign waiver, view safety video and be approved by
at least two board members prior to using any club equipment.

16-To be a member in good standing of Virginia Rowing Club you must
abide by the VRC boathouse rules.

Articles of Incorporation
ARTICLE 1
Preamble
This corporation shall be a non-profit corporation to be operated exclusively for the promotion of rowing opportunities and water sports safety under the provisions of Chapter 10, Title 13.1 of the Code of Virginia, 1950, as amended, under the corporate name hereinafter mentioned.

ARTICLE II
Name
The name of the Corporation is Virginia Rowing Club, Inc.

ARTICLE III
Purposes
The corporation is organized exclusively as a charitable and educational organization to receive, maintain and administer assets in perpetuity for the purpose of providing and promoting rowing opportunities, water sport safety and related civic services for the promotion of the welfare of the communities located on the Virginia Peninsula and surrounding Tidewater areas and to inculcate civic consciousness by means of active participation in the sport of rowing, rowing competitions, and other constructive water sport safety/projects which will improve the community state and nation.

ARTICLE IV
Tax-Exempt Operations
The Corporation shall have and exercise all powers and authorities now or hereafter conferred upon nonstock corporations under the laws of Virginia. However, no part of its net earnings shall inure to the benefit of any incorporator, trustee, director or officer of the Corporation, or any private individual, except that reasonable compensation may be paid for services rendered to or for the Corporation affecting one or more of the Corporation’s purposes. No incorporator, trustee, director, officer or private individual shall be entitled to share in the distribution of any corporate assets upon its dissolution.
No part of the activities of the Corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation (except as and to the extent permitted by the provisions of the Internal Revenue Code of 1986, as amended (hereinafter referred to as the “Code”), or similar statutes, for organizations exempt from Federal income taxes pursuant to Section 501 (c) (3) of the Code or similar statues, and the Corporation shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office.
Notwithstanding any other provision of these Articles, the Corporation shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from Federal income tax under Section 501 (c) (3) of the Code or (b) by a corporation, contributions to which are deductible under Section 170 (c) (2) of the Code.
As a means of accomplishing its charitable purposes, the Corporation shall distribute for each taxable year sufficient income and principal as such times and in such manner as to avoid subjecting the Corporation to tax under Section 4942 of the Code. Further, for any time during which the Internal Revenue Service does not recognize the Corporation as a public charity, neither the Corporation nor anyone on its behalf shall (1) engage in any act of self-dealing (as defined in Section 4941 of the Code), (2) retain any excess business holdings (as defined in Section 4943 of the Code), (3) make investments in such a manner as to subject the Corporation to tax under Section 4944 of the Code, or 94) make any taxable expenditures 9 as defined in Section 4945 of the Code).

ARTICLE V
Membership
The class or classes of members and the qualifications and voting rights of the members of each class shall be as set forth in the By-Laws.

ARTICLE VI
Board of Directors
The business and property of the corporation shall be managed by a Board of Directors, who shall be elected by the members as set forth in the By-Laws. All directors shall hold office until the next annual meeting of the members or special meeting in lieu of an annual meeting and thereafter until their respective successors are chosen and qualified. Any vacancy in the Board of Directors may be filled by the directors.

ARTICLE VII
Initial Board of Directors
The number of directors constituting the initial Board of Directors shall be three (3), and they shall serve until the organizational meeting of the corporation. Their names and addresses are:

ARTICLE VIII
Executive Committee
The Board of Directors may establish an executive Committee which shall have the powers set forth in the Bylaws of the Corporation, including the power to approve any amendment of these Articles.

ARTICLE IX
Dissolution
Upon dissolution of the Corporation, the Board of Directors, after paying or making provisions for the payment of all liabilities of the Corporation, shall convey any remaining assets of the Corporation to an organization or organizations chosen by the directors which are exempt from Federal income taxation under Section 501 (c) (3) of the Code, or to the Commonwealth of Virginia, a political subdivision thereof or any agency or either.
ARTICLE X
Liability and Indemnification
(a) To the full extent that the Virginia Nonstock Corporation Act, as it exists on the date hereof or may hereafter be amended, permits the limitation or elimination of the liability of directors or officers, a director or officer of the Corporation shall not be liable to the Corporation for monetary damages.
(b) To the full extent permitted and in the manner prescribed by the Virginia Nonstock Corporation Act and any other applicable law, the Corporation shall indemnify a director or officer of the Corporation who is or was a party of any proceeding by reason of the fact that he is or was such a director or officer or is or was serving at the request of the Corporation as a director, officer, employee or agent of another corporation, partnership, joint venture, trust, employee benefit plan or other enterprise.
(c) Reference herein to directors, officers, employees and agents of their respective heirs, executors and administrators.

ARTICLE XI
Registered Agent and Office
The post office address of the initial registered office of the Corporation shall be 11832 Rock Landing Drive, Suite 101, Newport News, Virginia 23606. The initial registered agent shall be H. Vincent Conway, Jr., who is a resident of the State of Virginia and a member of the Virginia State Bar, and whose business address is the same as the address of the initial registered office.

CONSTITUTION OF THE VIRGINIA ROWING CLUB, INC.

ARTICLE I
Name, Duration and Principal Office

The name of this corporation is noted above, duration and principal office shall be set forth in the corporation's Certificate of Incorporation.

ARTICLE II
Objective

The objective of this club shall be the encouragement and development of rowing among our members, more particularly the instruction, improvement, and competition in, and enjoyment of, the art of rowing and the promotion of a friendly and social spirit among its members.

ARTICLE III
Membership

The club shall consist of the following classes of members who shall be entitled to the privileges as specified herein:

Section 1: General Members.

Any person who has attained the age of twenty-seven (Masters Rowing Age) years or older shall be eligible for general membership. All privileges of general membership are granted once annual dues have beem received by the club treasurer. General members may hold office in the club and shall be entitled to cast one vote at any meeting of the club at which said member is present. General members enjoy the right to row club equipment in which they have been qualified, and storage of personal rowing equipment at the rowing site (space permitting). Additionally, general members may sponsor guests.

Section 2: Junior Members.

In order to provide the opportunity for younger people to engage in rowing under the supervision of club members, any person under the age of 27 may be eligible for junior membership. A junior member may not hold office in the club and may not vote. Use of club equipment will require full-time supervision of a general member(s) sponsoring / supervising the junior member. Sponsoring of guests by a junior member will be based on the general membership. Board members, I am not sure that I captured the words/thoughts accurately.



Section 3: Family Membership.

Any general member with a spouse or with children with an interest in rowing may apply for a family membership.

Section 4: Guests

Guests may row club equipment as long as they are sponsored and directly supervised by a general member(s). The general member will be responsible for the guest's conduct and secure the guest’s waiver. Guests will be required to be escorted by their sponsor while using club equipment. Upon attending 5 separate sessions, guests will be required to join the club as general or junior members prior to continued use of any club rowing equipment. It is the responsibility of the sponsoring member to ensure that the 5 session rule is enforced.

ARTICLE IV
Dues

Annual dues will be recommended by the Board of Directors to the general membership of the club for approval.

General / Junior / Family Membership Dues.

General and Family Membership dues will run on calendar year (January 1 through December 31) . Payment of membership dues to the club treasurer shall be accomplished by each member prior to March 1 of that calendar year.

ARTICLE V
Board of Directors

Section 1. Responsibilities and Duties.

Unless otherwise directed by the membership or otherwise specified by the By-Laws, all matters of governance of the Club in every respect shall be determined by the Board of Directors including without limitation the setting of dues, fees, assessments and numerical membership limits, the maintenance of order, the protection of Club property, the handling of Club funds, the discipline of members and all other matters incident to successful continuation of the Club into the future in accordance with its objectives. The Board of Directors shall have no power to render the Club liable for any debt exceeding the amount of money which shall, at the time of contracting such debt, be in the treasury and not needed for the discharge of prior unfunded debts or liabilities of the Club. A decision of the Board of Directors may be overruled only by a vote of two-thirds of the members present at a meeting called for that purpose on two weeks notice. At such a meeting each member of the Board of Directors shall have one vote on the issue in question.



Section 2. Composition.

The Board of Directors shall consist of the following members as follows; the President; the Vice President; the Secretary ,Treasurer, Boatyard Captain, and webmaster; plus Board Members as deemed necessary elected at the Annual Meeting. The Board of Directors shall plan to meet not less quarterly and a simple majority shall constitute a quorum.

Section 3. Terms.

The President, Vice-President, Secretary, Treasurer, Boatyard Captain, and Webmaster shall take office immediately upon their election at the annual meeting and shall serve for a term of 3 years and until successors are duly elected. Officers are eligible for re-election. Vacancies in any office may be filled for the balance of the term by the Board of Directors.

Section 4: Compensation

No member of the Board of Directors shall receive any compensation for services as a Director. No officer, agent or employee of the club shall receive any compensation for services unless authorized by the affirmative vote of a majority of those present and voting at any regular or special meeting of the Board of Directors.

ARTICLE VI
The President and Vice President

If at any time the President shall be unable to act, the Vice-President shall take his place and perform his duties; and if the Vice-President shall be unable to act, the Board shall appoint one of the Directors to do so. The President or such Vice-President or Director:

· Shall preside over all meetings of the members of the Corporation and Directors.
· Shall sign, as President, all contracts and instruments, which have been first approved by the Board of Directors.
· Shall call Directors together whenever he or she deems it necessary, and shall have, subject to the advice of the Directors, direction of the affairs of the Corporation and shall discharge generally such other duties as maybe required by these by-laws or by the Board.
· Shall call the annual meeing



ARTICLE VII
Secretary

It shall be the duty of the Secretary:

· To keep a record of the proceedings of the meetings of the Board of Directors and members.

· To discharge such other duties as pertain to said office or may be prescribed by the Board of Directors.
· Notify membership of the annual meeting

ARTICLE VIII
Treasurer

It shall be the duty of the Treasurer:

· To receive and deposit all funds of the Corporation and account for all receipts, disbursements and balance on hand.
· To furnish a bond in such form and in such amount, if any, as the Board of Directors may from time to time require.
· To discharge such other duties as pertain to his office or may be prescribed by the Board of Directors.
· To keep a record of the member rolls.

ARTICLE IX
Boatyard Captain

· Enforce rules that govern use of club equipment.
· Assign rack and storage spaces to members who desire to store rowing equipment in the club's boatyard under direction of the Board of Directors
· Act as central point of contact for (groups of) members who wish to reserve club boats for use in regattas.
· Point of contact for maintenance and equipment

ARTICLE X
Webmaster

The webmaster is responsible for maintaining and updating the content of
the VRC rowing website: http://www.varowing.org.
Duties include maintaining the:
· rowing schedule,
· posting board meeting minutes, and
· current news, etc. as well as assisting other club members in
posting pertinent information on the website.

ARTICLE XI
Election of Officers

Section 1: Annual Elections.

The elections of Club Officers shall take place at the time and place of the annual meeting. Any general member in good standing shall be eligible for office. Only general members shall be entitled to vote.



Section 2: Removal from Office.

An officer may be removed from office only by a majority vote of the Board of Directors, followed by a two-thirds vote of the members present at a meeting specifically called for such purpose on two weeks notice. The person charged shall have no vote on such issue.

Section 3: Nominations and Elections.

The Board of Directors will recommend a slate for club officers / Trustees of the Board at the monthly meeting preceding the annual meeting. The slate will be presented to the general membership for consideration; at which time additional nominations may be made. A vote will be taken by the general membership present, requiring a majority to be elected to office.

ARTICLE XI
Meetings

Section 1: Annual Meeting.

The annual meeting of the club shall be scheduled by the Board of Directors to be held in the first quarter of the year, unless adjourned by the Board of Trustees, for election of officers and trustees, receiving reports, and the transaction of other business. The order of business at the Annual Meeting shall be as follows:

a. Call to order
b. Reading of minutes from previous meeting
c. Reports
d. Election of officers
e. Unfinished business
f. New business
g. Adjournment


Section 2: Additional Membership Meetings.

Additional membership meetings may be held as required by decision of the Board of Directors or by the membership at a previous meeting. At least two weeks notice will be provided to the club members.

Section 3: Order of Business.

The order of business may be altered or suspended at any meeting by a majority vote of the general members present. The usual parliamentary rules as laid down by Robert's Rules of Order shall govern when not in conflict with these By-Laws.

ARTICLE XII
Bank Deposits and Execution of Checks

The funds of the Corporation shall be deposited in such bank or banks, as the Treasurer of the Corporation shall designate. All checks, drafts, or orders for the payment of money, notes, or other evidence of indebtedness issued in the name of the corporation shall be signed by such officer or officers, director, or directors, such agent or agents, of the corporation as shall be determined by resolution of the Board of Directors.

ARTICLE XIII
Equipment Use Policy

The Board of Directors will approve and publish the operating rules that govern use the club equipment.

ARTICLE XIV
Amendments

These by-laws may be altered or amended at any meeting of the Board of Directors called for that purpose and at which not less than a majority of the Directors present and voting shall vote in favor of such alteration or amendment.

IN CONSIDERATION of being given the opportunity to participate as a part of the Virginia Rowing Club ("VRC") activities ("Activity") until the end of this calendar year I, for myself, my personal representatives, assigns, heirs, and next of kin:
1. ACKNOWLEDGE, agree, and represent that I understand the nature of rowing activities, both on the water and land based, and that I am qualified, in good health, and in proper physical condition to participate in such activities.
2. FULLY UNDERSTAND that:
· (a) ROWING ACTIVITIES INVOLVE RISKS AND DANGERS of serious bodily injury, including permanent disability, paralysis, and death ("risks");
· (b) these risks may be caused by my own actions, or inactions, the actions of others participating in the Activity, the condition in which the Activity takes place, or the negligence of the "releasees" named below;
· (c) there may be other risks and social and economic losses either not known to me or not foreseeable at this time; and I FULLY ACCEPT AND ASSUME ALL SUCH RISKS AND ALL RESPONSIBILITY FOR LOSSES, COSTS, AND DAMAGES I incur as a result of my participation in the VRC activities.
3. AGREE AND WARRANT that I will examine and inspect each Activity in which I take part as a member of the VRC and that, if I observe any condition which I consider to be unacceptably hazardous or dangerous, I will notify the proper authority in charge of theat event and will refuse to take part in that event until the condition has been corrected to my satisfaction.
4. HEREBY RELEASE, discharge, and covenant not to sue USRowing, Virginia Rowing Club, their administrators, directors, agents, officers, volunteers and employees, and other participants, organizers, any sponsors, advertisers, and, if applicable, owners and lessors of premises on which the Activity takes place (each considered one of the releasees herein) from all liability, claims, demands, losses, or damages on my account caused or alleged to be caused in whole or in part by the negligence of the releasees or otherwise, including negligent rescue operations; and I further agree that if, despite this release and waiver of liability, assumption of risk, and indemnity agreement, I, or anyone on my behalf, makes a claim against any of the releasees, I WILL INDEMNIFY, SAVE, AND HOLD HARMLESS each of the releasees from any litigation expenses, attorney fees, loss liability, damage, or cost which may incur as a the result of such a claim.
I have read this agreement, fully understand its terms, understand that I have given up substantial rights by signing it and have signed it freely and without any induction or assurance of any nature and intend it to be a complete and unconditional release of all liability to the greatest extent allowed by law and agree that if any portion of this agreement is held to be invalid, the balance, notwithstanding, shall continue in full force.
